TERMS & CONDITIONS

1. INTRODUCTION

Welcome to MIDAS WATER PURIFIER TECHNOLOGY ('MIDAS', 'Company'). These Terms govern use of www.midaswaterpurifiers.com for B2C and B2B sales, installation, AMC, warranty, payment gateway and EMI services. By using the Website you agree to these Terms.

2. DEFINITIONS

Company means MIDAS WATER PURIFIER TECHNOLOGY. Customer includes retail and business buyers. Products include Domestic RO, Commercial RO Plants, IRP, Carbon Filters, Sand Filters, Water Softeners, Pressure Vessels, Filters, Spare Parts and accessories. Services include installation, repair, warranty, AMC and technical support.

3. ELIGIBILITY

Only persons competent to contract may use the Website. Business entities must ensure authorised representatives place orders. Users must provide accurate information.

4. USER REGISTRATION & ACCOUNT

Registered users may place orders, track orders, register warranty and AMC. Users are responsible for passwords and OTPs. Fraudulent accounts may be suspended.

5. WEBSITE USAGE

Users shall not copy content, scrape data, misuse offers, upload malware, impersonate others or interfere with Website operations.

6. PRODUCTS & SERVICES

Products and services are offered to both B2C and B2B customers. Product availability and installation depend on stock and service coverage.

7. PRODUCT INFORMATION & SPECIFICATIONS

Images are illustrative. Specifications may change. Product performance depends on water quality, TDS, pressure, electrical supply and maintenance.

8. PRICING & QUOTATIONS

Prices are in INR. Dealer, institutional and retail pricing may differ. Quotations are time-bound. The Company may correct pricing errors and revise prices without prior notice.

9. PRODUCT ORDERS

Customers may place Orders through the Website by selecting Products or Services, providing complete billing and shipping information, selecting a payment method and completing checkout. Submission of an Order is only an offer to purchase and does not constitute acceptance by the Company. Retail (B2C), Business (B2B), Dealer and Bulk Orders may be subject to separate commercial terms. The Company may verify customer identity, GST details, Purchase Orders, delivery address or authorized signatory details before processing any Order. The Company reserves the right to reject or cancel Orders due to fraud, pricing errors, stock shortages, verification failure, misuse of offers or legal restrictions.

10. PAYMENT TERMS

Payments may be made through UPI, Credit Cards, Debit Cards, Net Banking, Wallets, EMI and other approved methods. All prices are in Indian Rupees (INR). Unless otherwise agreed, Products shall be dispatched only after successful receipt of payment. Business customers may be granted credit facilities at the sole discretion of the Company. The Company is not responsible for failed transactions caused by banking failures, payment gateway downtime, internet interruptions or incorrect payment credentials. Duplicate payments, once verified, shall be refunded through the original payment method.

11. PAYMENT GATEWAY

Online payments are processed through authorised third-party payment gateway providers. The Company does not store debit card numbers, credit card numbers, CVV, UPI PINs or internet banking passwords. The Company shall not be liable for payment gateway downtime, authentication failures, banking network interruptions or technical issues outside its reasonable control. Fraudulent chargebacks may result in suspension of customer accounts and legal recovery proceedings.

12. EMI TRANSACTIONS

EMI facilities are provided by participating banks or financial institutions and are subject to lender approval. The financing agreement exists solely between the Customer and the lender. The Company is not responsible for loan approval, rejection, interest rates, processing fees, repayment schedules, penalties or recovery proceedings. Cancellation of EMI Orders shall also be subject to the lender's policies.

13. GST, TAXES & INVOICING

Applicable GST and statutory taxes shall be charged in accordance with prevailing laws. Tax invoices shall be generated using the details furnished by the Customer. Business customers are responsible for providing accurate GST registration details. The Company shall not be liable for denial of Input Tax Credit arising from incorrect information supplied by the Customer.

14. SHIPPING & DELIVERY

The Company currently delivers Products across Kerala and may extend delivery to additional regions. Estimated delivery time is generally 7–15 Business Days subject to stock availability, transportation, weather, government restrictions and force majeure events. Customers shall inspect Products immediately upon delivery and report visible damage, shortages or incorrect Products within 48 hours. Additional delivery charges may apply where delivery fails due to incorrect address, customer absence or refusal to accept delivery.

15. INSTALLATION SERVICES

Installation is carried out by authorised technicians. Standard installation is free unless otherwise specified. Additional plumbing, electrical work, drilling, piping, pumps or accessories may attract additional charges. Customers must ensure water supply, power supply, plumbing, drainage and access before installation.

16. DELIVERY, RISK & TRANSFER OF TITLE

Customers shall inspect products immediately and report damage within 48 hours. Risk transfers on delivery; ownership transfers after full payment. Delivery delays due to force majeure are not the Company's responsibility.

17. WARRANTY POLICY

Eligible products carry a One Year Limited Warranty against manufacturing defects. Warranty service requires proof of purchase and product verification. The Company may repair or replace eligible parts.

18. WARRANTY EXCLUSIONS

Warranty excludes filters, cartridges, consumables, accidental damage, misuse, negligence, voltage fluctuation, poor water quality, corrosion, unauthorised repairs, modified products and tampered serial numbers.

19. AMC

AMC plans may include preventive maintenance, inspections, cleaning and covered parts replacement. Consumables and external plumbing/electrical work are excluded unless expressly covered.

20. SERVICE REQUESTS

Service requests may be raised through the Website, phone, email or WhatsApp with invoice details and serial number.

21. REPLACEMENT POLICY

Replacement Only Policy applies. Manufacturing defects, transit damage and wrong products reported within 48 hours may qualify for replacement after inspection. No cash refund except where required by law.

22. INTELLECTUAL PROPERTY RIGHTS

22.1 Ownership of Intellectual Property

All content available on the Website, including but not limited to text, graphics, logos, trademarks, trade names, product images, videos, software, website design, page layouts, icons, source code, databases, catalogues, brochures, technical documents, downloadable content and other materials ("Website Content") is the exclusive property of MIDAS WATER PURIFIER TECHNOLOGY or its licensors and is protected under applicable intellectual property laws.

Nothing contained on the Website shall be construed as granting any licence or right to use any intellectual property without the prior written consent of the Company.

22.2 Restrictions on Use

Users shall not:

• Reverse engineer or decompile any software.

22.3 Infringement

Customers may voluntarily submit reviews, ratings, testimonials or suggestions regarding Products and Services.

23.2 User Responsibility

Users are solely responsible for the content submitted by them and warrant that such content does not violate any law or third-party rights.

23.3 Prohibited Content

Users shall not upload or publish content that is:

• Defamatory or abusive.

• Obscene or offensive.

• Illegal or fraudulent.

• Infringing intellectual property rights.

• Promotional or spam.

23.4 Moderation

24.4 Third-Party Service Providers

The Website may integrate with third-party payment gateways, logistics providers, analytics services, SMS providers, email service providers and EMI partners. The Company shall not be responsible for the independent privacy practices of such third parties.

25. LIMITATION OF LIABILITY

25.1 Website Availability

The Company does not guarantee uninterrupted or error-free operation of the Website and shall not be liable for interruptions caused by maintenance, technical failures, cyber incidents or events beyond its reasonable control.

25.2 Product Performance

Performance of water purification products depends on various factors including source water quality, TDS, hardness, iron content, water pressure, electrical supply, installation conditions and regular maintenance. The Company does not guarantee identical performance under all operating conditions.

25.3 Limitation of Financial Liability

To the maximum extent permitted by law, the Company's total liability arising out of any claim relating to a Product or Service shall not exceed the amount actually paid by the Customer for that Product or Service.

25.4 Exclusion of Consequential Loss

The Company shall not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, business interruption, goodwill or data.

26. INDEMNITY

The Customer agrees to indemnify and hold harmless MIDAS WATER PURIFIER TECHNOLOGY, its proprietor, employees, technicians, authorised dealers, service partners and representatives against all claims, losses, damages, liabilities, costs and expenses arising from:

• Breach of these Terms.

• Misuse of Products.

• Unauthorised modifications or repairs.

• Fraudulent activities.

• False warranty claims.

• Violation of applicable laws.

• Infringement of third-party rights.

27. FORCE MAJEURE

The Company shall not be liable for any delay or failure in performing its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to floods, earthquakes, cyclones, fires, pandemics, war, riots, labour strikes, transport disruptions, government actions, power failures, internet failures, supplier delays or other force majeure events.

The affected obligations shall remain suspended for the duration of such event.

28. SUSPENSION AND TERMINATION

The Company reserves the right to suspend or terminate access to the Website, cancel Orders or disable customer accounts where a User:

• Violates these Terms.

• Provides false information.

• Commits fraud.

• Misuses promotional offers.

• Attempts unauthorised access.

• Infringes intellectual property rights.

• Engages in unlawful activities.

Termination shall not affect any rights or liabilities accrued prior to termination.

29. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India.

30. DISPUTE RESOLUTION

The parties shall first endeavour to resolve disputes amicably through discussion.

If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts at Kozhikode, Kerala, without prejudice to any statutory rights available to consumers.

31. GRIEVANCE REDRESSAL

In accordance with applicable law, Customers may contact the Grievance Officer regarding complaints relating to the Website, Products or Services.

The Company shall endeavour to acknowledge and resolve complaints within a reasonable period.

32. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

33. WAIVER

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of such provision or of any other rights available to the Company.

34. ENTIRE AGREEMENT

These Terms & Conditions, together with the Privacy Policy, Shipping & Delivery Policy, Return, Replacement & Refund Policy, Warranty Policy, Cancellation Policy, Disclaimer and any other policies published on the Website, constitute the complete agreement between the Company and the Customer regarding the use of the Website and the purchase of Products and Services.

35. AMENDMENT OF TERMS

The Company reserves the right to modify, amend or replace these Terms at any time by publishing the updated version on the Website.

Continued use of the Website after publication of revised Terms shall constitute acceptance of the revised Terms.
